Terms and conditions

These Terms represent a legal agreement ("Agreement") between you and Holofy (as defined below) governing your access and use of the Holofy app, along with any subdomains whatsoever, or any other websites via which Holofy provides any services (jointly, "Site"), our mobile, tablet and other smart device applications, and application program interfaces (together, Site, App & Holofy Services are called the "Holofy Platform" from now on.

When these Terms mention' Holofy," we," us,' or' our,' they refer to Holofy Limited, 26th Floor Eagle Point, 161 City Road, London, EC1V 1NR, United Kingdom.

Our privacy policy outlines our collection and use of personal information related to your access to and use of the Holofy Platform.

One or more Holofy Payments organisations offer all payment processing services through or in connection with your use of the Holofy Platform ("Payment Services") ("Holofy Payments" as defined in the Payment Terms and Conditions ("Payment Terms") to you.
The sole responsibility of hosts is to recognise, understand, and comply with all laws, rules, and regulations that relate to their Space and Host Services (as described below). Many cities, for example, have laws that restrict their ability to host paying guests for brief periods or provide some host services. Hosts may need to register, obtain a permit, or obtain a licence in many cities before offering other host services (such as preparing food, selling alcohol, leading tours, or operating a vehicle).

It is the sole responsibility of the Host to recognise and obtain any licences, permits, or registrations necessary for any host services they provide.
Many forms of host services might be prohibited. Penalties may include fines or some enforcement.
You should always seek legal guidance if you have questions about how local laws apply to your Holofy Space(s) and Host Service(s).

1. HOLOFY APP Scope

1.1 Holofy is an online application that enables registered users ("Holofy Members") and third-party hosts ("Holofy Members and Third-Parties who offer services are "Holofy Hosts", and the services they offer are "Holofy Host Services") to add Holofy Host Services to the Holofy Application ("Spaces and Cards"). Holofy Host Services may include the offering of various spaces or items for rentals, sales, and services.

1.2 As the provider of the Application Holofy does not own, create, sell, resell, provide, control, manage, offer, deliver or supply any of the spaces, rentals, sales or services except for "Holofy Autonomous Fleet Spaces" which are run and managed by "Holofy". Holofy Members and Holofy Hosts are alone responsible for their spaces, rentals, sales or services. When Holofy Members make or accept any of the spaces, rentals, sales or services, they are entering into a contract directly with each Member. Holofy is not and does not become a party to or another participant in any contractual relationship between Holofy Members, nor is Holofy a broker or insurer. Holofy is not acting as an agent in any capacity for any Holofy Member or Hosts, except as specified in the Payment Terms.

1.3 Although sometimes we might help the resolution of some disputes, Holofy has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any rentals, sales or service provided by the Members and Hosts, (ii) the truth or accuracy of any rentals, sales or service descriptions or content, or (iii) the performance or conduct of any Member or third party. Holofy does not endorse any Member, rentals, sales, service or Host. You should always exercise due diligence and care when you decide where to use, buy or rent any of the offered items or services, communicate and interact with other Holofy Members or Hosts, whether online or in person.

1.4 If you choose to use the Holofy App as a Host, your relationship with Holofy is limited to being an independent, third-party contractor, and not an employee, agent, joint venturer or partner of Holofy for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit, of Holofy. Holofy does not, and shall not be deemed to, direct or control you generally or in your performance under these Terms specifically, including in connection with your provision of the Holofy Host rentals, sales or services. You acknowledge that you have complete discretion were to provide rentals, sales or services or otherwise engage in other business or employment activities.1.5 In order to promote the Holofy App and to increase the exposure of particular space rentals, rentals, sales or services member-generated content may be displayed on other websites, in applications, within emails, and in online and offline advertisements.

1.6 The Holofy App may contain links and third-party websites and resources ("Third-Party Services"). Those Third-Party Services may be subject to different terms and conditions and privacy practices. Holofy is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by Holofy of such Third-Party Services.

1.7 Holofy is not responsible for outages or disruptions of the Internet and telecommunications infrastructure which are beyond our control and can lead to interruptions in the availability of the Holofy App. Holofy may, temporarily and under consideration of the Member's legitimate interests, restrict the availability of the Holofy App or certain areas or features thereof, if this is necessary for view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Holofy App. Holofy may improve, enhance and modify the Holofy App and introduce new Holofy Services from time to time. Holofy will provide notice to Members of any changes to the Holofy App unless such adjustments are minor without having a material effect on the parties' contractual obligations.


2. How we verify, Being Eligible and Using the HOLOFY APP

2.1 To download and use the Holofy App or register an account with us you must be an individual of at least 18 years old.

2.2 Comply with applicable export control laws in your local jurisdiction.

2.3 Holofy may give access to certain features of the Holofy App, subject to certain conditions or requirements, such as completing the verification process, meeting specific quality or eligibility criteria.

2.4 We use a third-party identity KYC verification system; if you access or download the Application, you agree with.
2.5 Internet user verification is difficult, and we are not responsible for confirming the identity of any member. Notwithstanding the above, we may but have no obligation to do so for the purposes of transparency and fraud prevention and as permitted by applicable laws to (i) Request Members to submit government identification form or other information or to carry out additional controls to verify Members' identity or backgrounds, (ii) Screen Members from databases or other sources of third parties and request service providers' reports (iii) If we have sufficient details in order to identify a Member, receive reports in your local jurisdiction (if available) from public records of criminal convictions or registrations for sex offenders or equivalents of background or registered sex offender inspection.

2.6 You may have to accept additional conditions or terms for accessing or using specific areas or features of the Holofy App before you can access the areas or functions relevant to the Holofy App. If the terms and conditions of the Holofy App are conflicting with one particular area or feature, these terms and conditions shall take precedence with respect to your access to or use of the area or feature, unless otherwise provided in this terms and conditions. Unless otherwise specified by the latter.

2.7 If you access or download the Application from the Apple App Store, you agree to
Apple's Licensed Application End User License Agreement or from Google Play Store, you agree to their Terms and Conditions. Some areas of the Holofy App implement Mapbox's mapping services, including Mabox's API(s). Your use of Mapbox is subject to the Mapbox's Terms and Conditions. Also subject to payments, Holofy App implements Stripe's API, which is subject to Stripe's Terms and Conditions, Holofy App implements Intercom's API, which is subject to their Terms And Conditions.

3. Charges, Fees and Payments.

3.1 There is no fee in becoming a Holofy Member, but there are certain charges in the services that we do offer.

3.2 The Booking Charge - those are the charges we collect from Guests on behalf of the Hosts for the period of stay.

3.3 The Holofy Platform Fee - Holofy charges up to 15% of the total Booking Fee plus applicable sales taxes. Holofy Members and Holofy Hosts agree that once the Booking has been confirmed the fees are non-refundable, other than in special-cirumstances set out in our Refund Policy.

3.4 The Holofy Host Autonomous Pack Fee - This is the fee that we charge Holofy Hosts when we are on-boarding a new space onto the platform. Thee fee is £600 without any upfront money being paid. Holofy will charge 25% of each direct booking until the entirety of the sum is paid.
- if the Holofy Host provides us with incomplete or incorrect information prior to, or during the installation of the Autonomous Pack: 150 GBP installation fee.
- if the Holofy Host moves the time slot agreed for installation with less than 24 hours' notice, or the installer arrives and is not able to complete the installation: 150 GBP as a reschedule fee; and
- if, after installation, the Host decides that we may not list their Space, the Host will need to reimburse us the costs we incurred in installation which are 500 GBP.

3.5 The Third Party Platform Sync - We charge a monthly fee of £30 for each 3rd party channel through which bookings are being managed and use our system to share information and access.

4. Refund Policy :

4.1 Before check-in: the guest is entitled to a full refund from the time of booking up to 24 hours.

4.2 At Check-in: the guest can request a full refund if the space does not match the space's description at the time of booking, or if the state of the space is inadequate for living (eg. the space has not been cleaned or prepared to receive a new guest)

4.3 After Check-in: the guest has 24 hours to report inadequate living conditions that can lead to a full or partial stay refund

4.4 during the stay: the guest can escalate potential issues directly with the host, and involve Holofy for a full or partial refund if the Host is either unresponsive, unwilling or unable to help fix the outstanding issues.

4.5 after the stay: the guest cannot claim refunds, either partially or fully, for lost items or issues experienced during a stay.

5. Guest Responsibility:

5.1 At the time of booking, a Guest assumes personal liability as well as direct liability for any invitee that will inhabit the space.

5.2 A host can terminate a stay at any time without a refund if the guest is found breaching the following rules:
No pets allowed.No smoking.All guests staying in a property must be registered on the app and included in the bookings.No parties, events or gatherings allowed.No loud noise between 8 PM and 9 AM.

5.3 Any damage in a property can be reported by the host and escalated for a compensation claim up to 72 hours after checkout. Holofy reserves the right to act in accordance with its rules of conduct and charge the guest any outstanding amount for damages done on a property during a stay.

6. Change of These Terms and Conditions In accordance with this provision, Holofy reserves the right to modify these Terms at any time. In the case of modifications to these terms, we will post the revised Holofy App terms to the top of these terms and update the "Last Updated" date. We will also notify you at least five (5) days before the date of their entry into force by email. You may terminate this Agreement with immediate effect if you disagree with the revised Terms. In the notification email, we will inform you of your right to terminate the Agreement. If you do not terminate your Agreement before the effective date of the revised conditions, the revised conditions will constitute acceptance of your ongoing access to or use of the Holofy App.
